Disclosure obligations of persons offering assets to the public

Persons offering assets to the public shall under Article 130 of Act No. 566/2001 Coll. on Securities and Investment Services (hereinafter referred as to “Securities Act”), no later than two months after the end of the first six months of the accounting period, publish a semi-annual financial report in the same manner as an issuer of securities admitted to a regulated market, and shall, no later than four months after the end of the accounting period, publish an annual financial report in the same manner as an issuer of securities admitted to a regulated market; it shall submit these reports, together with evidence of their publication, to the National Bank of Slovakia. The contents of annual financial report and semi-annual financial report shall be subject, as appropriate, to Article 77 paragraph (2) to paragraph (4) of Securities Act. The information stated in semi-annual and annual financial reports shall be complete, truthful and materially correct.

Under the provisions of Article 130 paragraph (2) of Securities Act persons offering assets to the public shall notify the National Bank of Slovakia without delay of any change in its financial situation or any other fact that could impair its ability to meet liabilities to clients.

In accordance with Article 37 paragraph (2) of Act No. 747/2004 Coll. on Supervision of the Financial Market semi-annual and annual financial reports are publicly available in the headquarters of the National Bank of Slovakia, solely after prior written or phone agreement.
