Binding EU Legal Instruments

Directive 2004/109/EC of the European Parliament and of the Council of 15 December 2004 on the harmonisation of transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market became effective on 20 January 2007 and was implemented into the legal framework of the Slovak Republic by means of Act No. 209/2007 Coll. namely into the Stock Exchange Act No. 429/2002 Coll. It is the principal directive establishing requirements in relation to the disclosure of periodic and ongoing financial statements of issuers whose securities are admitted to trading on regulated markets, major shareholdings notifications, dissemination and storage of regulated information. Since this directive is minimally harmonised, the individual member states may decide to apply additional or more stringent requirements than those stipulated in the above mentioned directive. The executive directive to this directive is Commission Directive 2007/14/EC of 8 March 2007.

The above mentioned directive (some of its articles) was amended by the following directives: Directive 2008/22/EC of the European Parliament and of the Council of 11 March 2008, Directive 2010/73/EU of the European Parliament and of the Council of 24 November 2010 and Directive 2010/78/EU of the European Parliament and of the Council of 24 November 2010.
